Periodic Compliance Reporting to RBI

• Monthly compliance report to be made to RBI every 7th of the month in cases which has received ECB from any foreign source.
• We also help in getting the non compliance compounded from end of RBI, on case to case basis, so as to avoid hefty fines including prosecution at later date.
• Other compliance include reporting to RBI in Form FC-TRS in cases where Indian company’s securities are offloaded to an Foreign Investor or where Securities/ shares of Foreign Entity are transferred to outside india or to any other Indian entity/ individual within India. Such reporting is to be made mandatorily and includes hefty fines if not done within stipulated of 60 days from date of first receipt of funds or transfer of securities.

Other Import and Export Related Compliances
Mandatory to obtain Import Export Certificate (IEC) from DGFT and to route all containers (Import /Exports) from designated EDI Ports in India only. Post Exports payment of foreign currency is to be realised in full value within period of 9 Months from date of actual exports viz. filing of shipping bills at port of exports.
If proceeds are not realised from exports within stipulated period, RBI invokes penalty in this regards. However, an entity may seek Shipping Bill proceeds waiver as per following procedure-
A. Upto 5% of realisable value of Exports of Preceeding year, Exports are entitled to write off the realisation with simple intimation to AD Bank and RBI for knocking off the same.
B. Upto 10% of realisable value of Exports of Preceeding year, AD Banks are authorised to write off the realisation with simple intimation to RBI Bank for knocking off the same.
C. In case of 100% write off or where write off value exceeds 10% of Exports of Preceeding year, prior RBI approval is to be sought on case to case basis.
Please note in case of non clearance of pendencies on IDPMS/ EDPMS systems, AD Banks apart from RBI are entitled to invoke penalties and prosecutions. Our firm help clearances of such pendencies from end of RBI and AD Bank.
In cases pertaining to Import of Goods, Bill of Entry (BOE’s) are required to be filed at designated EDI Ports of Customs in India. Post import of Goods, Importers are liable to make payments, in case of normal imports, within a period of 6 months from date of import. In case BOE states that goods are on sample basis, Importers can write off the same through simple intimation to AD Bank in this regards. Moreover, for other BOE waivers RBI approval to be sought on case to case.
Please note apart from standard payments of shipping bills or BOE thru designated banks, Importers/ Exporters sometimes makes payments/ received payments thru other channels such as payment gateways or aggregator accounts. In such cases BRC’s might not be available and such Import/ Exports are to be regularise from end of AD Bank on which code the container/ consignment was actually imported/ exported. In such cases we also provide assistance to get such Import/ export bills regularised.

Compliances related to Income Tax And GST-
• Procedural compliances related to Income Tax and Goods And Services Tax Act (GST) are applicable on an enterprises.
• Transfer Pricing is applicable under Section 92E of the Income Tax Act
• Income Tax Audit U/s 44AB which is mandatory for Assessees having turnover of Business upto 1 Crores/ for services Gross Receipts upto Rs. 50 Lakhs annually.
• Monthly Filings of GST returns
• Quarterly Filings of GST Returns
• Annual Return and Statement of Reconciliation (GSTR-9 and GSTR-9C)
• Where Input Taxes availed in GSTR-3B and that available in GSTR-2B exceeds Rs. 5.00 Lakhs certificate from Professional is also required to be filed in compliance to Notice issued in Form DRC-01C, failure of which will result in blocking of GST including filing of Invoices.
• E-Invoices under GST regime are also applicable in cases where Aggregate Annual Turnover (ATO on PAN India Basis Turnover) exceeds Rs. 5.00 Crores during a tax period or year.

• Secretarial Audits from Practising Company Secretary (Applicable in Case of Listed Companies or any Public Limited company having Paid up Capital of Rs. 50 cr. Or Turnover of Rs. 250 cr. Or any subsidiary of such companies)
• Internal Audits (Applicable for every Listed Company; every Public Limited Company having turnover of Rs. 200 Cr. Or Paidup Capital of Rs. 50 Cr. Or Borrowings exceeding Rs. 100 Cr. Or Deposits exceeding Rs. 25 Cr. In case of Private LImited company, if its Turnover exceeds Rs. 200 Cr. Or Borrowings or loan exceeds Rs. 100 Cr.)
